Overview

As part of the investigation against Juan Luis Bosch Gutiérrez for offenses against public administration, the Anti-Corruption Prosecutor's Office of the Accusatory Criminal System requested multiple civil courts in Panama’s First Judicial Circuit to confirm whether Lisa, S.A. was subject to any lawsuits, seizures, or precautionary measures. The inquiry, carried out under Case No. 202300033850, focused specifically on April 14, 2015—the date of a disputed shareholders’ assembly held by Villamorey, S.A. Lisa, S.A. alleges that the assembly was held without legal justification and while dividends owed to it remained under judicial deposit, making the legitimacy of that corporate action a central issue.

All civil courts responded that Lisa, S.A. was not a defendant in any case and was not subject to any judicial restrictions as of that date. The only exception was the Eleventh Civil Court, which clarified that Lisa, S.A. appeared only as plaintiff in two lawsuits against Villamorey, S.A. These confirmations are critical to Lisa’s legal position: they disprove any claim that Lisa was under legal restraint at the time of the assembly and reinforce the argument that its exclusion from corporate governance and dividend distributions was unjustified and unlawful.
