Overview

On February 10, 2025, Lisa, S.A. submitted a motion to the Eleventh Civil Circuit Court in Expediente No. 556-99 requesting compliance with the long-standing order requiring Villamorey, S.A. and Juan Luis Bosch Gutierrez to return dividends seized from Lisa, S.A. during the precautionary phase of the ordinary proceeding. The motion recalls that the case concluded with Judgment No. 42 of July 11, 2008, later modified by the First Superior Tribunal in August 2012 and finalized after cassation. It cites a November 25, 2008 communication in which Bosch, acting as judicial depositary, confirmed that all withheld dividends were placed at the Court’s disposal.

Lisa, S.A. explains that Order No. 2277-2018 of December 5, 2018 mandated that the $894,718.00 owed to Villamorey, S.A. be extinguished through compensation using Lisa, S.A.’s dividends retained by Villamorey anywhere in the world. The motion further notes that Official Notice No. 29 of January 3, 2025 lifted the embargo in the executive case involving BDT Investments Inc., leaving no remaining precautionary measures that could justify withholding the dividends. Lisa, S.A. therefore requests that the Court notify Bosch—judicial depositary under Article 536(4) of the Judicial Code—that his role has ended and that he must provide a full report and return all funds retained for roughly sixteen years. The company also asks the Court to issue all necessary communications to ensure full enforcement of Order No. 2277-2018.
