Corporate Mergers and Effects on the Lawsuits

Introduction

Between 2010 and the following years, dozens of companies from the Avícola Villalobos Group filed lawsuits against Lisa, S.A. Although many of these companies were later absorbed through mergers, the court proceedings continued. Under Guatemalan law, the absorbing company automatically assumes the rights and obligations of the merged entities, including ongoing litigation, meaning the lawsuits continue under the new corporate name.

Case Background
Original structure

More than 20 companies from the Avícola Villalobos Group filed lawsuits against Lisa, S.A., a minority shareholder.

Merger process

Over time, many of these companies were consolidated into five operating entities through mergers.

Legal effect

While the absorbed companies ceased to exist legally, their lawsuits did not end. The absorbing companies assumed their procedural standing, and the cases continued without interruption.

Effect on the Lawsuits
  • Procedural continuity: Although the absorbed companies disappeared legally, the lawsuits remained active under the absorbing company’s name.
  • Inherited obligations: The resulting companies from the mergers inherited both assets and liabilities, including legal responsibility in lawsuits against Lisa, S.A.
  • Practical implication: This means that, despite the consolidation of the group into five operating companies, Lisa continues to face lawsuits originally filed by companies that no longer legally exist, but whose claims were taken over by the absorbing entities.
