Criminal Complaint

On May 9, 2023, Lisa, S.A. submitted a formal criminal complaint before the Anti-Corruption Primary Care Prosecutor’s Office in Panama, accusing Juan Luis Bosch Gutiérrez of committing criminal offenses under Title X, Chapter I of the Panamanian Criminal Code (misconduct against public administration, applied in its extensive modality). Lisa alleges that Bosch, acting as administrator, judicial depositary, and legal representative of Villamorey, S.A., diverted or retained funds belonging to Lisa, including dividends owed as a 33.33% shareholder. The complaint asserts that Bosch failed to comply with judicial depositary obligations established in Civil Case No. 556-99 and misused or failed to account for significant amounts that should have remained safeguarded for Lisa’s benefit.

The filing claims that Bosch’s conduct resulted in continuous and substantial economic harm estimated at no less than $70 million. It also emphasizes that Bosch never rendered court-ordered depositary reports, concealed financial information, and allegedly redirected funds for his own benefit or that of third parties. Lisa requests the Prosecutor’s Office to admit the complaint, order inspections of Villamorey’s accounting records (including those held by its resident agent, GALA), determine the whereabouts of diverted dividends, impose precautionary measures, and ultimately seek criminal prosecution and conviction for the alleged offenses.
