Overview
On April 30, 2025, Lisa, S.A. submitted a motion to the Eleventh Civil Circuit Court in Expediente No. 556-99 to reiterate prior requests for the return of dividends that were seized under a precautionary measure and placed under the custody of Juan Luis Bosch Gutierrez. Lisa, S.A. emphasizes that the underlying ordinary proceeding concluded definitively with Judgment No. 42 of July 11, 2008, later modified by Resolution No. 28 of August 2012 of the First Superior Tribunal, and became final after cassation. Order No. 2277-2018 of December 5, 2018 instructed that the $894,718.00 owed to Villamorey, S.A. be paid through compensation using dividends belonging to Lisa, S.A. and retained by Villamorey anywhere in the world. The filing also notes that Official Notice No. 29 of January 3, 2025 lifted the embargo in the executive proceeding promoted by BDT Investments Inc., eliminating any remaining precautionary measures that could justify continued retention of dividends.
Lisa, S.A. therefore requests that the Court notify Juan Luis Bosch Gutierrez—who became judicial depositary under Article 536(4) of the Judicial Code—that his role has legally ended, obligating him to report on his management and return all retained dividend funds. The company stresses that Villamorey, S.A. continues to maintain a restrictive notation over Lisa, S.A.’s dividends in its share ledger, as evidenced in the separate proceeding before the Sixth Civil Circuit Court (Exp. 14240-21), despite all embargoes having been lifted years earlier. Lisa, S.A. characterizes Villamorey, S.A. and Bosch as refusing to release the funds in a misleading manner and asks the Court to issue all necessary communications to enforce Order No. 2277-2018 and secure the immediate return of the dividends withheld for approximately 16 years.
